These Terms and Conditions apply to all offers, quotations, agreements, and deliveries by DroneDepot. To comply with mandatory legislation, a strict legal distinction is made in each article between sales to Consumers (B2C) and Business Customers (B2B).
Consumer (B2C): By placing an order, the consumer agrees to these terms and conditions. Any terms and conditions proposed by the consumer that differ from these are expressly rejected. DroneDepot makes these terms and conditions available to the consumer digitally before or during the conclusion of the contract.
Business (B2B): By placing an order, the business buyer is deemed to be fully aware of and to accept these terms and conditions of sale. Any terms and conditions of purchase or general terms and conditions of the business buyer are expressly excluded, unless otherwise agreed in writing in advance with DroneDepot management.
Consumer (B2C): All prices on the website, in advertisements, and in quotes addressed to consumers include VAT and other mandatory taxes, unless explicitly stated otherwise. Quotes are binding for the period specified therein. Orders are final upon completion of the online checkout process.
Business (B2B): All information in catalogs, price lists, quotes, and advertisements is for reference only and excludes VAT, unless expressly stated otherwise. Quotations are always non-binding. Orders are not final until DroneDepot provides a written order confirmation.
Consumer (B2C): Delivery times are approximate. If delivery is delayed by more than 30 days, the consumer has the right to cancel the contract free of charge and demand a full refund, unless a longer delivery period was explicitly agreed upon. Force majeure suspends obligations; if a force majeure situation lasts longer than 30 days, the consumer may cancel the order at no cost.
Business (B2B): Delivery times are purely indicative and not binding. Delays in delivery shall under no circumstances give rise to cancellation of the order, compensation, or termination of the agreement by the business customer. In the event of force majeure, DroneDepot has the right to suspend or cancel the performance of a contract, in whole or in part, without being liable for any damages.
Consumer (B2C): There is no mandatory purchase requirement or penalty if the consumer lawfully exercises their statutory right of withdrawal. If the consumer refuses delivery at the door without a prior notice of withdrawal, DroneDepot may deduct the actual return shipping costs (the shipping costs charged by the carrier for the return shipment) from the refund. No flat-rate penalties (such as 10%) are applied to consumers.
Business (B2B): Once an order has been placed, the business customer is irrevocably obligated to accept delivery. In the event of refusal to accept delivery or unlawful cancellation, all expenses already incurred shall be borne by the customer, and the invoice amount shall be automatically increased by a lump-sum compensation of 10%, without prejudice to DroneDepot’s right to prove higher actual damages.
Consumer (B2C): DroneDepot bears full responsibility for the risk of loss or damage during transit until the consumer (or a third party designated by the consumer) physically takes delivery of the goods. Visible damage or defects upon delivery must be reported within a reasonable period (preferably within 7 calendar days) in writing or via [email protected] to facilitate prompt resolution with the carrier.
Business-to-Business (B2B): The shipment and delivery of the goods are entirely at the risk and responsibility of the business buyer (Ex Works / from warehouse). If visible damage is noticed upon arrival of the goods, the business customer must immediately file the necessary formal reservation with the delivery agent/carrier and notify DroneDepot in writing within 3 days, under penalty of forfeiture of rights.
Consumer (B2C): The delivered goods remain the property of DroneDepot until the consumer has paid the full invoice amount (including any shipping costs). The consumer may not dispose of, resell, or encumber the goods until ownership has been transferred.
Business (B2B): Delivered goods remain the property of DroneDepot until full payment of all outstanding invoices, including any interest and liquidated damages. They remain subject to repossession, even in the case of a repair, until all outstanding invoices have been paid in full. The business customer may not resell or pledge the goods as long as ownership has not been transferred.
Consumer (B2C): Payments are made directly online when placing an online order, unless otherwise agreed in writing, or upon pickup at the physical store (cash or electronic). Invoices are due immediately.
Business (B2B): All payments must be made at the seller’s place of business in Affligem. Payment must be made in cash upon delivery or pickup, without any discount, unless a different payment term has been expressly agreed upon in writing at the time of the order or is specified on the invoice.
Consumer (B2C): If payment is not received by the due date, DroneDepot will send the consumer a free notice of default (reminder). After a statutory grace period of 14 calendar days (counting from the third business day after the reminder is sent), the statutory interest rate for late payments will be charged, in accordance with the provisions of the Economic Law Code.
Business (B2B): Any invoice not paid by the due date shall, by operation of law and without prior reminder or notice of default, accrue late-payment interest at a rate of 1% per month (or the statutory interest rate in accordance with the Act of August 2, 2002). In addition, the outstanding amount will be increased by a lump-sum penalty of 10% of the invoice amount (with a minimum of €125) to cover administrative collection costs.
Consumer (B2C): If DroneDepot fails to fulfill its obligations under the agreement, the consumer has the legal right to suspend his payment obligation in proportion to the identified breach.
Business (B2B): Under no circumstances may the business buyer invoke a dispute, pending complaint, or warranty claim with the seller to withhold, suspend, or set off payments. DroneDepot retains a right of retention on all goods (including goods currently being repaired) until all outstanding debts and invoices have been paid in full.
Consumer (B2C): The consumer has the right to cancel the contract within 14 calendar days without providing a reason. This period begins on the day after the consumer or someone acting on their behalf physically receives the product.
Method of Withdrawal: The consumer may notify us of their withdrawal by means of an unambiguous statement (for example, via email to [email protected], in writing by mail, or using the optional model form on the website). The use of a specific form provided by DroneDepot is never required.
Refund: DroneDepot will refund all payments received from the consumer, including the standard outbound shipping costs, within 14 days of being notified of the cancellation. DroneDepot may withhold the refund until it has physically received the goods back or until the consumer has provided valid and conclusive proof of shipment (whichever occurs first). The refund may not be made contingent upon the consumer’s advance payment of other costs or penalties.
Return Shipping Costs: The direct costs of returning the goods are the responsibility of the consumer, provided this has been clearly communicated in advance. The consumer must return the goods undamaged, unused, and in their original packaging. Any loss in value resulting from unnecessary use (beyond what is necessary to inspect the nature and characteristics of the goods) may be deducted from the refund.
Business (B2B): Business buyers are not entitled to a right of withdrawal, a cooling-off period, or returns. All sales to business customers are final. Returns are accepted only in highly exceptional cases, subject to prior written approval from DroneDepot, and may be subject to administrative and restocking fees.
Consumer (B2C): Private customers are entitled to the 2-year European statutory warranty on new goods sold in accordance with the legal provisions (Art. 1649bis et seq. of the Old Civil Code). Secondhand goods come with a statutory warranty of at least 1 year. If a defect arises within this period, the consumer is entitled to free repair or replacement. Shipping and handling costs associated with a valid warranty claim are fully covered by DroneDepot. The warranty period begins on the invoice date.
Business (B2B): As a business customer, you are entitled only to the manufacturer’s warranty; this is the warranty provided and enforced by the manufacturer of the item sold. Any additional costs associated with repairing the equipment that are not explicitly covered by the manufacturer’s or supplier’s warranty terms—such as costs for transportation, shipping, or the travel of our personnel—are entirely the responsibility of the business customer.
Discount vouchers, coupons, gift cards, or discounts of any kind cannot be combined with one another. If the online store’s back-end system fails to detect this correctly due to a technical error, DroneDepot reserves the right to unilaterally cancel the order. In that case, the amount already paid will be refunded to the account used for payment within 2 weeks of cancellation.
If there is reasonable suspicion of fraud or misuse in connection with an order, DroneDepot may unilaterally cancel the order. Any amount already paid will be refunded to the account used for the original payment within 2 weeks of cancellation.
Consumer (B2C): The agreement is governed by Belgian law. In addition, in the event of international consumer disputes within the European Union, the consumer retains the protection afforded by the mandatory provisions of the law of the country where he has his habitual residence. In the event of a dispute, the consumer may bring the matter before the courts of his or her place of residence or before the courts of DroneDepot’s registered office (Brussels).
Business (B2B): The agreement between DroneDepot and the business customer is governed exclusively by Belgian law, with the express exclusion of the Vienna Convention on Contracts for the International Sale of Goods. In the event of a dispute, whether in the context of a claim or a defense, the courts of the District of Brussels shall have exclusive jurisdiction, notwithstanding any conflicting provision in the business customer’s terms and conditions.
Consumer (B2C): In the event of complaints regarding an online order, the consumer must always first contact us via email at our central email address: [email protected]. If an amicable settlement cannot be reached, the consumer or DroneDepot may appeal to the ODR (European Online Dispute Resolution) dispute resolution body via the official ODR website: http://ec.europa.eu/odr.
Business (B2B): Complaints regarding services rendered, goods delivered, or invoices must be submitted, with a statement of reasons, by certified mail or via [email protected] within 8 calendar days of the delivery or invoice date, under penalty of forfeiture. The European ODR platform is not available to B2B customers.
Any deviation from these general terms and conditions of sale is valid only with the prior, express, and written consent of DroneDepot, and exclusively by a person who has been explicitly authorized to do so.
